Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the websites, portals, dashboards, API endpoints, and any content or services provided by KEYBLOCK SOLUTIONS PTE. LTD. (“Keyblock”, “we”, “us”, “our”) at or through [Website URL] and any related investor/manager portals (collectively, the “Services”).

Keyblock Solutions Pte. Ltd. is a company incorporated in Singapore (UEN: 202135861M) with registered office at 20 Collyer Quay #11‑05, Singapore 049319.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

 

1. Who we are and what we do (high‑level)

Keyblock is a digital‑asset fund administration firm providing back‑ and middle‑office services such as fund accounting/NAV, transfer agency, KYC/AML/KYT, and wallet whitelisting, as well as operational integrations with exchanges/custodians. We do not provide investment advice or offer, sell, arrange, or intermediate investments via the Services.

 

2. Eligibility & account registration

You must have legal capacity to contract, and (where applicable) be duly authorised by your organisation.
Certain areas (e.g., investor/IM portals) require an account. You agree to: (a) provide accurate information; (b) keep credentials confidential; and (c) promptly notify us of suspected unauthorised use.
We may decline, suspend, or terminate accounts at our discretion where required by policy, law, or risk.

 

3. Permitted use and acceptable use

You may use the Services only for lawful, internal business purposes related to your fund relationship with us. You must not:
- breach any law, regulation, sanctions, or third‑party rights;
- attempt to bypass security, probe, scan or test vulnerability, or interfere with the Services;
- upload malicious code;
- use data mining/scraping/harvesting not expressly permitted;
- misrepresent your identity or affiliation;
- use the Services to process proceeds of crime, evade sanctions, or route transactions through mixers or other obfuscation tools.

 

4. No advice; information‑only content

All content on the Services is for general information only. Nothing constitutes legal, tax, accounting, investment, or other professional advice, nor a solicitation, recommendation, offer or invitation to acquire any product or security. You are responsible for obtaining independent advice before relying on any information.

 

5. Digital‑asset risk & custodial arrangements

If the Services describe, report on, or operationally interact with digital‑asset activity (e.g., reading wallet activity for KYT, recording whitelisting status, or reflecting fund platform data):
- Digital assets are volatile and subject to technology, market, regulatory, and operational risks.
- Any references to third‑party exchanges/custodians/wallets are descriptive; we do not control them and are not liable for outages, security incidents, asset losses, or performance of third parties.
- Wallet whitelisting/KYT results are risk assessments only; they are not guarantees of lawful provenance.

 

6. Your content and data

- Your Content: Materials you upload or submit (e.g., fund docs, investor files) remain yours. You grant Keyblock a non‑exclusive, worldwide licence to host, process, analyse, and display Your Content solely to provide the Services, comply with law, and enforce these Terms.
- Confidentiality: We treat non‑public information as confidential, subject to legal/regulatory disclosures, security operations, audit, and subcontractors bound by confidentiality.
- Personal Data: Personal data is handled under our Privacy Policy (Singapore PDPA compliant). By using the Services, you acknowledge that processing may involve overseas transfers with comparable protection.

 

7. Intellectual property; licence and restrictions

The Services, content, software, methods, designs, and trade marks (including Keyblock names and logos) are owned by Keyblock or its licensors and protected by IP laws.
We grant you a limited, revocable, non‑transferable, non‑sublicensable licence to access and use the Services for permitted purposes.
You must not copy, modify, distribute, reverse engineer, or create derivative works except as allowed by mandatory law.

 

8. Third‑party services and links

The Services may link to or interoperate with third‑party sites, APIs, tools, or services. We are not responsible for third‑party content, terms, privacy practices, or security. Your use of third‑party services is at your own risk and may be subject to separate terms.

 

9. Compliance: sanctions, export, AML/CFT

You warrant that neither you nor any controlling/beneficial owner is subject to applicable sanctions. You must not use the Services in, from, or for the benefit of a jurisdiction or person subject to sanctions or where such use would contravene export‑control or AML/CFT laws. We may screen data (including wallet addresses) and block or report activities as required by law or policy.

 

10. Service changes; availability

We may enhance, modify, suspend, or discontinue all or part of the Services at any time. We aim for high availability but provide the Services on an “as is” and “as available” basis, without warranties, and may implement maintenance windows or emergency changes without notice.

 

11. E‑signatures and electronic communications

You consent to receiving notices and communications electronically (email, in‑product, portal banners).
Where the portal supports e‑signature flows, you agree that electronic signatures/records satisfy legal requirements for writing/signature to the extent permitted by applicable law.

 

12. Indemnity

You will defend, indemnify, and hold harmless Keyblock, its affiliates, and personnel from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Services; (b) Your Content; (c) breach of these Terms or law; or (d) any allegation that Your Content infringes third‑party rights.

 

13. Disclaimers

To the maximum extent permitted by law, we disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, non‑infringement, and uninterrupted or error‑free operation. Information is provided “as is” and may change without notice.

 

14. Limitation of liability

To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, loss of profits, revenues, goodwill, data, or business interruption.
- Our aggregate liability for all claims relating to the Services is limited to the greater of SGD 100 or the total fees (if any) you paid to us for access to the Services in the six (6) months preceding the event giving rise to liability.
- Nothing in these Terms excludes liability for fraud, or for death or personal injury caused by negligence where such exclusion is prohibited by law.

 

15. Suspension and termination

We may suspend or terminate your access immediately (with or without notice) if: (a) you breach these Terms or law; (b) risk or compliance reasons require it; or (c) the Services are discontinued. Upon termination, your right to use the Services ceases; sections intended to survive (e.g., IP, confidentiality, indemnity, disclaimers, limitations, governing law) will continue.

 

16. Changes to these Terms

We may update these Terms from time to time. Changes take effect upon posting on the Services or at the stated effective date. Your continued use constitutes acceptance of the updated Terms.

 

17. Miscellaneous

- Entire Agreement: These Terms and any referenced policies (e.g., Privacy Policy) are the entire agreement for the Services.
- Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a corporate transaction.
- No waiver: Failure to enforce is not a waiver.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- Third‑party rights: Save for Keyblock’s affiliates and personnel, a person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 2001 (Singapore) to enforce any term.
- Governing Law & Jurisdiction: These Terms are governed by the laws of Singapore. You submit to the exclusive jurisdiction of the courts of Singapore.
